Terms InstaPanel Pro

By installing or using the “InstaPanel Pro” Google Sheets extension (“the Service”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.

1. Acceptance of Terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. If you disagree with any part, do not use the Service.

2. Description of the Service

The Service allows you to connect your Instagram account to Google Sheets, enabling API requests and data management directly within your spreadsheets.

3. User Accounts

a. Eligibility

You must be at least 16 years old to use the Service.

b. Registration

• Sign-Up: Provide your email and license key to register.
• Account Security: You are responsible for safeguarding your access credentials.

c. Subscription

• Payment: The Service is subscription-based with monthly payments processed via Kajabi and Stripe.
• License Key: Delivered via email through a secure automation upon subscription.

d. Account Information Display

You acknowledge that certain account information, including your Instagram Business Account ID, will be displayed within the Service to enhance functionality and user experience.

4. User Responsibilities

• Compliance: Use the Service in accordance with all applicable laws and regulations.
• Accurate Information: Provide accurate and complete information during registration.
• Prohibited Actions: Do not misuse the Service, engage in unauthorized access, or interfere with its operation.

5. Intellectual Property

• Ownership: All intellectual property rights in the Service are owned by us.
• License: We grant you a non-exclusive, non-transferable license to use the Service as per these Terms.
• Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service.

6. Termination and Cancellation

a. By You

• Unsubscription: You may cancel your subscription at any time. Access will terminate at the end of the current billing cycle.
• Data Deletion: Your data will be deleted upon cancellation.

b. By Us

We may suspend or terminate your access to the Service immediately, without prior notice, for any breach of these Terms.

7. Limitation of Liability

• No Warranty: The Service is provided “as is” without warranties of any kind.
• Exclusion of Liability: We shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
• Maximum Liability: Our total liability shall not exceed the amount you have paid for the Service.

8. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

9. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

The Service integrates with third-party platforms:

• Meta Platforms: Use of Instagram APIs is subject to Meta’s terms and policies.
• Google Services: The Service operates within Google Sheets and is subject to Google’s terms.
• Payment Processors: Kajabi and Stripe handle payments under their respective terms.

We are not responsible for the services provided by these third parties.

11. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may also revise these Terms periodically. Continued use of the Service constitutes acceptance of any changes.

12. Governing Law

These Terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Finland.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.
